On February 28, 2005, Pier 1 Imports, Inc. (the "Company") entered in to an Employment Agreement (the "Agreement") with Gregory S. Humenesky. Pursuant to the Agreement, Mr. Humenesky will serve as the Company's Executive Vice President, Human Resources. Subject to the parties' respective termination rights set forth in the Agreement, the Agreement will expire on February 29, 2008. During the term of the Agreement, if Mr. Humenesky is terminated without"Cause" or resigns due to the Company's "Breach" of the Agreement, as those terms are defined in the Agreement, he is entitled to severance pay equal to nine months of his base salary.
