ITEM 2.02. Results of Operations and Financial Condition
On April 29, 2005, Digital Recorders, Inc. (the "Company") announced in a
press release the Company's preliminary sales for first quarter 2005.
The Company also announced in the press release that it plans to file its
Form 10-Q for first quarter 2005 on or about May 16, 2005.
The Company also announced in the press release that its Annual Meeting of
Shareholders will be held Friday, June 3, 2005, at 10 a.m. (Eastern) at the
Radisson Hotel Research Triangle Park located at Interstate 40 at Davis Drive
(Exit 280) in Research Triangle Park, N.C. Shareholders of record at the close
of business on Friday, April 15, 2005, are entitled to receive notice of, and to
vote at, the Annual Meeting and any adjournment thereof.
