prescribed time period.

         The Form 10-KSB for the period ended June 30, 2005, could not be filed
within the prescribed time period due to unavoidable communication delays in
obtaining review and approval of the 10-KSB audited financials from overseas
directors of the registrant which could not be eliminated by the registrant
without unreasonable effort or expense.
