ITEM 2.02. Results of Operations and Financial Condition
On November 14, 2005, Digital Recorders, Inc. (the "Company") announced
in a press release the Company's results for third quarter 2005, as well as its
outlook through the end of fiscal year 2008.
The Company also announced in the press release that it had filed its
Form 10-Q for the quarter ended September 30, 2005.

99.1. This Form 8-K and the attached exhibit are furnished to, but not filed
with, the Securities and Exchange Commission.

On November 14, 2005, Digital Recorders, Inc. (the "Company") announced
in a press release the Company's results for third quarter 2005, as well as its
outlook through the end of fiscal year 2008.
