ITEM 2.02. Results of Operations and Financial Condition.
On August 8, 2006, The DIRECTV Group, Inc. issued a news release, which
contained information regarding the second quarter 2006 consolidated results of
DIRECTV Holdings LLC ("DIRECTV"). The news release did not include certain
financial statements, related notes and certain other financial information that
will be filed with the Securities and Exchange Commission as part of DIRECTV's
Quarterly Report on Form 10-Q. A copy of the press release relating to such
announcement, dated August 8, 2006, is attached hereto as Exhibit 99.1 and is
incorporated herein by reference.
