prescribed time period.
The Form 10-KSB for the period ended June 30, 2006, could not be filed
within the prescribed time period due to the unavoidable delays in obtaining
additional documentation requested by the auditors engaged by the Company, as
indicated in the September 28, 2006 letter attached hereto, which delays could
not be eliminated by the registrant without unreasonable effort or expense.
