On December 18, 2006, the Board of Directors of X-Rite, Incorporated (the "Company"), based upon the recommendation of the Compensation Committee of the Board of Directors, authorized and approved the grant to Thomas J. Vacchiano, the Company's President and Chief Executive Officer, on December 18, 2006 (the "Grant Date") of options to purchase 125,000 shares of the Company's common stock, par value $0.10 per share (the "Common Stock"), pursuant to the Company's 2006 Omnibus Long Term Incentive Plan at an exercise price equal to $11.25, the last reported sales price of the Common Stock on the Grant Date (the "Options"). The Options will vest ratably over a period of three (3) years with one-third of the Options vesting on December 18 of each year commencing on December 18, 2007 and ending on December 18, 2009.
