ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On November 14, 2007, Edgewater Technology, Inc. (the "Company") announced
that it is revising the Company's previously announced financial results, for
its third quarter ended September 30, 2007, which were previously set forth in a
furnished Form 8-K on October 24, 2007 (the "October 2007 8-K"). A copy of the
November 14, 2007 press release issued by the Company concerning the foregoing
results is furnished herewith as Exhibit 99.1 and is incorporated herein by
reference in its entirety. This Form 8-K/A supersedes the October 2007 8-K.
The information contained herein and in the accompanying exhibit is being
"furnished," as opposed to being "filed" pursuant to the Securities Exchange Act
of 1934, as amended (the "Exchange Act") and shall not be incorporated hereafter
by reference into any filing of the Company, where made before or after the date
