PART III - NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, N-SAR, N-CSR,
or the transition report or portion thereof, could not be filed within the
prescribed time period.
The Form 10-K for the period ended June 30, 2009, could not be filed
within the prescribed time period due to communication delays in obtaining
required information and obtaining review and approval of the 10-K financials
from overseas directors of the registrant (Europe and Pakistan). Additionally,
the Company experienced customary transitional delays due to a change in
auditors which was necessary to comply with the auditor rotation rules of
Section 203 of Sarbanes-Oxley Act. Such delays could not be eliminated by the
registrant without unreasonable effort or expense.
