The Registrant's Quarterly Report on Form 10-QSB for the quarter ended January
31, 2003 could not be filed within the prescribed time period because the
financial statements could not be prepared by the Company within such time
period to allow the accounting firm to complete the review without unreasonable
effort and expense.
