WE NOTE YOUR RESPONSE TO COMMENT 28 IN OUR LETTER DATED DECEMBER 27, 2012. AS PREVIOUSLY REQUESTED, PLEASE REVISE YOUR DISCLOSURE THAT MS. HAMDAN "HAS NOT RECEIVED ANYTHING OF VALUE FORM ONEPOWER" GIVEN THAT SHE HAS RECEIVED SHARES OF COMPANY STOCK. We have not removed the statement that Ms. Hamdan "has not received anything of value from OnePower" based on our position that the disclosure in this section is suppose to deal with the promoters of the company and any compensation they received as promoters of the company. The company's initial statement is correct. Ms. Hamdan has not received anything of value. We have revised our filing to add the statement that Ms. Hamdan is the beneficial owner of 2,000,000 common shares that she acquired through a share subscription and a promissory note that can be converted into a further 181,818 common shares of OnePower that she received for a loan she made to the company.
