Item 5. Other Events and Regulation FD Disclosure
On July 9, 2002, Envirokare Tech, Inc. (the "Company") issued a press
release to announce that it raised $300,000 from a private placement of Company
units during the second quarter of 2002. The units, priced at $.10 each,
consisted of one share of the Company's common stock and a warrant, exercisable
for a two-year period, to purchase one share of the Company's common stock, at
an exercise price of $0.25 per share. A copy of the press release is attached to
this Current Report on Form 8-K as Exhibit 99.1.
