      State below in reasonable detail the reasons why Form 10-K, 11-K, 20-F,
10-Q, N-SAR or the transition report portion thereof could not be filed within
the prescribed time period. (Attach extra sheets if needed.)

      In June of 2001, the Registrant entered into a share exchange with
shareholders of E Street Access, Inc. Registrant is preparing Form 10-KSB f/y/e
April 30, 2002 which will represent its first annual report reflecting the
transaction. The share exchange and delivery of documents relating to the
Registrant's off shore operations will necessitate additional time to complete
preparation of the Form.

      It is anticipated that the earnings statement of the Registrant will
report a loss of approximately $3,800,000 from operations for the twelve months
ended April 30, 2002 as opposed to a net loss of approximately $2,200,000 for
the twelve months ended April 30, 2001 (Registrant changed its fiscal year in
2001). Registrant's statement for the twelve months ended April 30, 2002,
includes results of operations of E Street Access, Inc.
