could not be filed within the prescribed time period because certain
information and data relating to and necessary for the accurate
completion of the Registrant's financial statements and management's

without unreasonable effort or expense.

PART IV - OTHER INFORMATION
(3) EXPLANATION OF ANTICIPATED CHANGE
During the quarter ending September 30, 2008 the Company entered into
an option exercise agreement with Atari Interactive, Inc. Pursuant to the
agreement, Atari Interactive exercised an existing option to purchase, and
purchased from the Company, intellectual property rights developed by the
Company in connection with the Dungeons & Dragons games, and the balance of all
amounts due from the Company to Atari Interactive under an existing note of
approximately $1,050,000 was cancelled and terminated. Such cancellation and
termination was recognized as income during the September 30, 2008 quarter.
