First Ipswich Bancorp (the "Company") has been made aware that on May 23, 2007, Neil St. John Raymond refinanced certain obligations with Brown Brothers Harriman & Co. in favor of Windham Realty II Limited Liability Company ("Windham"). Mr. Raymond entered into a pledge agreement for 997,380 shares of the common stock of the Company and a warrant to purchase 1,400 shares of the common stock of the Company as collateral. This could potentially result in a change in control of the Company.
