On November 30, 2008, the Industrial Development Bank of Israel Limited ("Registrant" or "Bank") issued an Immediate Report giving notice, that as set forth in its Immediate Report dated November 13, 2008, on that date of November 13, 2008, the service of three directors appointed by the State of Israel ceased, and as a result, the number of directors in the Bank fell below the minimum established in the Bank's Articles of Association. As of the date of the Immediate Report, November 30, 2008, despite the efforts of the Bank, the minimum number of directors had not been reached. Under these circumstances, the Bank's Board of Directors was not able to convene and approve the Bank's financial statements as of September 30, 2008, which the Bank had to file until November 30, 2008. The Bank sent a request to the Israel Securities Authority to grant a 7 day extension to file the financial statements, but as of said date had not received a reply. 2. On December 2, 2008, further to the above Immediate Report on November 30, 2008, the Bank issued an Immediate Report and gave notice that on December 1, 2008, the Bank had received the reply of the Israel Securities Authority by which the Bank was granted an extension for the filing of its financial statements as requested, until the renewal of the appointment of the directors whose service was ceased but in any event not after December 7, 2008. 3. On December 3, 2008, the Bank issued an Immediate Report giving notice of the renewal of the service of Mr. Moshe Gavish as a director of the Bank. With the said appointment, the number of directors of the Bank once again fulfilled the minimum required for the Bank's Board of Directors.
