ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS;
Mr. Israel Amir, Mr. Elan Penn, Mrs. Varda Rotter and Mr. Kennet Hoyt have
resigned as Board of Directors of the company as of December 31, 2008. They are
all pursuing other opportunities outside the Company.
