UNREGISTERED SALES OF EQUITY SECURITIES. On October 3, 2006, the board of directors (the "Board") of Mendocino Brewing Company, Inc., a California corporation, (the "Company") approved the issuance of an aggregate of 154,260 shares of the Company's unregistered Common Stock (the "Common Stock") to four outside members of the Board pursuant to the terms of the Company's Directors' Compensation Plan. The Common Stock was issued to the outside directors as compensation for their services on the Board and their attendance at meetings of the Board and committees of the Board held during 2004 and 2005. The number of shares of Common Stock granted to each outside director was calculated based on the number of meetings attended by such director and the book value of the Company's Common Stock as of the last day of each year in respect of which such compensation was due.
