Item 8.01 Other Events

      On May 18, 2005, First Niagara Financial Group, Inc. issued a press
release disclosing that it has been authorized by its Board of Directors to
repurchase up to an additional 5.8 million (5%) of its outstanding common stock,
as part of its ongoing capital management program and that it expects to
complete its current 4.2 million program within the next week. A copy of the
press release is filed as exhibit 99.1 to this report.
