ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS;
APPOINTMENT OF PRINCIPAL OFFICERS.

     Effective April 6,  2006,  Wade A. Hodges  resigned  as  a  Director of the
Company. The Company is  seeking  a  suitable  replacement for Mr. Hodges as a
Director.
