Item 1.01. Entry into a Material Definitive Agreement.
On June 13, 2006, Conseco, Inc. (the "Company") entered into an Amendment to
Employment Agreement with Eugene M. Bullis, Executive Vice President and Chief
Financial Officer of the Company, to extend the term of his employment agreement
through May 10, 2007. It had been scheduled to expire on September 10, 2006.
There were no changes made to the salary for Mr. Bullis or any other components
of his compensation. The amendment is being filed as Exhibit 10.10.1 to this
Form 8-K.
