Item 5.02 Departure of Directors or Principal Officers; Election of
Directors; Appointment of Principal Officers
On February 25, 2005, Robert H. Hotz was elected to the Board of Directors of
The Pep Boys - Manny, Moe & Jack (the "Company"), in accordance with the
Company's Bylaws, by the unanimous vote of the Board to fill a vacancy created
by the retirement of Bernard J. Korman. Mr. Hotz was also appointed to serve
on the Audit Committee of the Board.
