ITEM 8.01 OTHER EVENTS
On August 12, 2005, NeoMagic Corporation issued a press release announcing
that as a result of an error made by Nasdaq, its 1 for 5 reverse stock split
that was scheduled to be effective after the close of market on August 11, 2005
will now be effective after the close of market on August 12, 2005. A copy of
this press release is attached hereto as Exhibit 99.1.
