ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On March 15, 2006, The Gymboree Corporation issued an earnings release
announcing its financial results for the fourth fiscal quarter and fiscal year
ended January 28, 2006. A copy of the press release is furnished as Exhibit 99.1
to this current report on Form 8-K and is incorporated herein by reference. The
