Item 7.01 Regulation FD Disclosure
On February 17, 2009, Total Nutraceutical Solutions, Inc. (the "Company") a
Nevada corporation, issued a press release that the Company has entered into
an agreement with Hokto Kinoko to acquire mushroom spent substrate.
