July 14, 2016 ITEM 3.01. NOTICE OF DELISTING OR FAILURE TO SATISFY A CONTINUED LISTING RULE OR STANDARD; TRANSFER OF LISTING 	On July 14, 2016, Patriot Transportation Holding, Inc. ("Company") notified The Nasdaq Stock Market LLC ("Nasdaq") of the death of Robert H. Paul III. At the time of his death, Mr. Paul was a director of the Company and a member of its Audit Committee, Nominating and Corporate Governance Committee and the chairman of the Compensation Committee. In the notice, the Company further notified Nasdaq that as a result of Mr. Paul's passing, the Company is not in compliance with Nasdaq's independent director and audit committee requirements as set forth in Listing Rule 5605(b)(1) and 5605(c)(2)(A). 	The board of directors intends to appoint a new director who satisfies the independence requirements of the Nasdaq Listing Rules at its next regularly scheduled board meeting.
