The share exchange between Millipore Corporation and Concord Investments Corp., an indirect, wholly owned subsidiary of Merck KGaA became effective on July 14, 2010. Each share of Common Stock of Millipore Corporation was converted for $107.00 in cash, without interest and less any applicable withholding taxes. The Exchange also notifies the Securities and Exchange Commission that as a result of the above indicated conditions this security was suspended from trading on July 15, 2010.
