E2open Parent Holdings, Inc. (the “Company”) held its 2022 Annual Meeting of Stockholders on July 8, 2022 (“Annual Meeting”). As of May 9, 2022, the record date of the Annual Meeting, 334,940,937 shares of the Company’s Class A and Class V common stock were outstanding and entitled to vote. A total of 264,796,991 shares, or approximately 79.06% of the Company’s common stock, constituting a quorum, were represented in person or by proxy at the Annual Meeting.

The Company’s stockholders voted on four proposals at the Annual Meeting. The final results of the votes regarding each proposal are set forth below.

Proposal One – Election of Class I Directors. The following nominees were elected as directors to serve for a three-year term expiring at the 2025 Annual Meeting of Stockholders based on the following votes:
