ITEM 7.01 REGULATION FD DISCLOSURE
On May 16, 2007, PainCare Holdings, Inc. (the “Company”), issued a press release reporting the Company’s financial results for the quarter ended March 31, 2007, and stating that, due to the Company’s recent change in auditors, the Company anticipates filing its Form 10-Q for the 3 months ended March 31, 2007, no later than May 18, 2007.
A copy of the press release is furnished, with the exception of the statement regarding the filing of the Company’s 10-Q which is to be considered filed under the Exchange Act, as Exhibit 99.1.
