Item 2.02.    Results of Operations and Financial Condition

On April 25, 2006, UMB Financial Corporation issued a press release announcing the financial results for the fiscal quarter ending March 31, 2006. A copy of the press release is attached as Exhibit 99.1.

Exhibit 99.1 to this Report contains certain financial measures that are considered "non-GAAP financial measures" as defined in the SEC rules. Exhibit 99.1 of this Report also contains a reconciliation of these non-GAAP financial measures to the most comparable GAAP financial measures, as well as the reasons why UMB's management believes that the presentation of the non-GAAP financial measures provides useful information to the investors regarding UMB's results of operation.
