ITEM 2.02 RESULTS OF OPERATION AND FINANCIAL CONDITION
On May 1, 2007, Heritage Commerce Corp issued a press release announcing preliminary results for the first quarter ended March 31, 2007. A copy of the press release is attached as Exhibit 99.1 to this Current Report and is incorporated herein by reference.
ITEM 8.01 OTHER EVENT
On May 1, 2007, the Company’s Board of Directors declared a $0.06 per share quarterly cash dividend. The dividend will be paid on June 8, 2007, to shareholders of record on May 15, 2007.
