Item 2.02 - Results of Operations and Financial Condition
On November 4, 2010, iPass Inc. issued a press release announcing its third quarter 2010 financial results. A copy of the press release is attached as Exhibit 99.1 to this current report and is incorporated herein by reference.

On November 1, 2010, it was determined that Jayendra N. Patel, iPass’ Senior Vice President of Product Development, will be leaving the company, effective approximately November 18, 2010.
Item 7.01 - Regulation FD Disclosure
On November 4, 2010, iPass Inc. issued a press release announcing the declaration of a $0.07 per share special cash dividend to stockholders. The dividend is payable on December 17, 2010 to stockholders of record as of November 18, 2010 and is anticipated to be a return of capital to stockholders in 2010. A copy of the press release is attached as Exhibit 99.1 to this current report and is incorporated herein by reference.
