ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On April 17, 2014, Citizens First Corporation issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference. The press release announced the Company’s operating results for the first quarter ended March 31, 2014.
The information in this Item 2.02 in this Form 8-K and the Exhibit 99.1 attached hereto shall not be deemed filed for purposes of Section 18 of the Securities and Exchange Act of 1934, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, except as shall be expressly set forth by specific reference in such filing.
ITEM 5.03. AMENDMENT TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGES IN FISCAL YEAR.
On April 17, 2014, the Board of Directors of the Company adpted an amendment to the Citizens First Corporation Amended and Restated Bylaws. A copy of the Amended and Restated Bylaws, as amended, is attached hereto as Exhibit 3 and incorporated by reference herein. The amendment changed the date of the annual meeting of shareholders to the Wednesday immediately preceding the third Thursday in May, annually, at the hour of 5:30 p.m., or at such place (within or without the Commonwealth of Kentucky), date and hour as fixed by the Board of Directors of the Corporation.
