ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION
On July 30, 2009, SourceForge, Inc. (the “Company”) issued a press release announcing its financial results for the second quarter of its 2009 fiscal year, which ended June 30, 2009. A copy of the Company’s press release is attached hereto as Exhibit 99.1.

On July 26, 2009, Ram Gupta resigned as a director of SourceForge, Inc., effective immediately.
