Item 2.02 Results of Operations and Financial Condition.
On May 5, 2011, Lantronix, Inc. (the “Company”) issued a press release announcing preliminary results for its third fiscal quarter ended March 31, 2011. The full text of this press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference herein.
