State below in reasonable detail the reasons why the Form 10-K, 11-K, 10-Q, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Filing of the subject Form 10-Q for the quarterly period ended July 4, 2009 (the “Subject Form 10-Q”), could not be accomplished by nFinanSe Inc. (the “Company”) by the prescribed filing date without unreasonable effort or expense because of delays in compiling and preparing the financial statements required by Item 1 of Form 10-Q. The Subject Form 10-Q will be filed as soon as reasonably practicable and in no event later than the fifth calendar day following the prescribed filing date.

The Company currently believes that results of operations for the three months ended July 4, 2009 will not materially differ from the results of operations for the three months ended in the prior year period. However, for the reasons stated in Part III above, the Company has not completed the process of preparation of the financial statements for the Subject Form 10-Q and, accordingly, the Company is not able to provide a reasonable estimate of results of operations for the three months ended July 4, 2009.
