On May 22, 2006, Taleo Corporation issued a press release announcing its results for the quarter ended March 31, 2006. A copy of the press release issued by Taleo concerning the foregoing is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.

Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On May 22, 2006, Divesh Sisodraker, the Company’s Chief Financial Officer, announced his intention to resign from the Company prior to the end of 2006. Until a successor is appointed, Mr. Sisodraker will remain as Chief Financial Officer of the Company.
