Item 2.02 — Results of Operations and Financial Condition and Item 7.01 — Regulation FD Disclosure.
On May 18, 2009, BMP Sunstone Corporation (the “Company”) announced by press release and earnings conference call its financial results for the first quarter ended March 31, 2009, and certain other information. The information contained in the press release, which is attached to this Form 8-K as Exhibit 99.1, is incorporated by reference herein and is furnished pursuant to Item 2.02, “Results of Operations and Financial Condition” and Item 7.01, “Regulation FD Disclosure.”
Exhibit 99.1 to this Form 8-K contains certain financial measures that are considered “non-GAAP financial measures” as defined in the Securities and Exchange Commission (“SEC”) rules. Exhibit 99.1 to this Form 8-K also contains the reconciliation of these non-GAAP financial measures to their most directly comparable financial measures calculated and presented in accordance with generally accepted accounting principles.
The non-GAAP financial measures presented in Exhibit 99.1 to this Form 8-K include non-GAAP operating income, non-GAAP net income, non-GAAP earnings per share, non-GAAP gross profit and EBITDA, each of which the Company’s management believes provides useful information to investors regarding the Company’s results of operations. The Company’s management believes such information more accurately portrays the operational performance of the business given the significant non-cash charges of the Company. The Company’s management uses the non-GAAP financial measures to determine and evaluate, on an on-going basis, the performance of each of its subsidiaries and the consolidated performance of the Company as a whole. The significant non-cash charges of the Company include the following: stock based compensation, amortization of debt discount and issuance costs and amortization related to acquisitions.
