Item 2.02. Results of Operations and Financial Condition.
On May 6, 2010, Alon USA Energy, Inc. (the “Company”) issued a press release reporting our financial results for the quarter ended March 31, 2010. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Alon USA Energy, Inc. Amended and Restated 2005 Incentive Compensation Plan
At the Annual Meeting of the Stockholders of the Company held on May 4, 2010, stockholders approved the Alon USA Energy, Inc. Amended and Restated 2005 Incentive Compensation Plan (the “Plan”). A description of the terms and conditions of the Plan and the amounts payable under the Plan was included in the Company’s Proxy Statement filed with the Securities and Exchange Commission on April 6, 2010. The full text of the Plan is attached as Exhibit 10.1 hereto and incorporated by reference.
Director Grants
On May 4, 2010, the Company granted 3,472 restricted shares of the Company’s common stock to each of Avraham Shochat, Ron W. Haddock and Dr. Zalman Segal, each an independent director of the Company, pursuant to Section 12 of the Company’s Amended and Restated 2005 Incentive Compensation Plan. The shares vest in equal installments on the first, second and third anniversaries of the date of grant. These awards are evidenced by agreements in the form adopted by the Company for the purpose of evidencing grants of this type, which form was attached as Exhibit 10.1 to the Current Report on Form 8-K filed by the Company with the Securities and Exchange Commission on August 5, 2005, and is incorporated by reference into this Item 5.02.
Item 5.07. Submission of Matters to a Vote of Security Holders.
The Annual Meeting of Stockholders of the Company was held on May 4, 2010 at 9:00 a.m., Dallas, Texas time, at The Frontiers of Flight Museum, 6911 Lemmon Avenue, Dallas, Texas 75209. A total of 49,303,187 shares of the Company’s common stock were present or represented by proxy at the meeting, representing more than 91% of the Company’s shares outstanding as of the March 15, 2010 record date. The matters submitted for a vote and the related results were as follows:
Proposal 1: To elect ten directors to serve until the 2011 annual meeting or until their respective successors are elected and have been qualified. The results of the votes cast were as follows:
