The small business issuer’s quarterly report on Form 10-Q could not be filed without unreasonable effort or expense because of delays in completing the consolidated financial statements of the company and its subsidiaries. The report will be filed no later than the 5th calendar day following the due date, or by May 20, 2008.

The small business issuer’s quarterly report on Form 10-Q will report net revenues of approximately $2.2 million, compared to $0 of revenues in the first quarter of 2007. In addition, loss from operations in the first quarter of 2008 was approximately $2.61 million, compared to approximately $434,266 in the same quarter of 2007; and the small business issuer’s net loss for the first quarter of 2008 was approximately $6.65 million ($0.12 per common share), compared to net loss of approximately $439,493 ($0.02 per common share) in the first quarter of 2007. The changes in results of operations from the first quarter of 2007 to the first quarter of 2008 were primarily the result of the acquisition by the small business issuer’s majority-owned subsidiary, in May 2007, of certain oil and gas properties in Galveston Bay, Texas, as previously disclosed in the small business issuer’s periodic reports and other securities filings.
