Item 2.02 Results and Operations and Financial Condition.
On May 29, 2014, Express, Inc. issued a press release providing information regarding earnings for the thirteen weeks ended May 3, 2014. A copy of the press release is attached hereto as Exhibit 99.1.

Item 8.01 Other Events.
Share Repurchase Program
On May 28, 2014, the Board of Directors of Express, Inc. (the "Company") authorized the Company to repurchase up to $100 million of Company common stock. The repurchase program will be funded using the Company's available cash and is expected to be executed during the 18 month period following the authorization. Under the program, the Company may repurchase shares in the open market, including through Rule 10b5-1 plans, in privately negotiated transactions, through block purchases, or otherwise in compliance with applicable laws, including Rule 10b-18 of the Securities Exchange Act of 1934, as amended. The timing and actual number of shares repurchased under the program will depend on a variety of factors including price, corporate and regulatory requirements, and other business and market conditions. The share repurchase program may be suspended, modified or discontinued at any time and the Company has no obligation to repurchase any amount of its common stock under the program.
