The class of securities to be registered hereby are Common Stock, par value $0.001 per share (the “Common Stock”), of E-Waste Systems, Inc., a Nevada corporation. The descriptions of the Common Stock is set forth under the caption “Description of Securities” in the Registration Statement on Form S-1 (Registration No. 333-165863) as amended, the “Registration Statement” which became effective September 10, 2010 originally filed with the Securities and Exchange Commission (the “Commission”) under the Securities Act of 1933, as amended (the “Securities Act”), as an S-1 Registration Statement on April 1, 2010, is incorporated herein by reference.
