| Item 2.02 | Results of Operations and Financial Condition |
On November 4, 2021, Tile Shop Holdings, Inc. (the “Company”) issued a press release announcing its financial results for the three and nine months ended September 30, 2021. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K (this “Current Report”) and is incorporated herein by reference.

Special Dividend
After review and consideration of capital allocation alternatives with its financial advisor, the Independent Transaction Committee of the Board of Directors of the Company (the “Board”) unanimously recommended that the Board approve a special dividend of $0.65 per share. The members of the Board unanimously approved this recommendation on November 2, 2021.
On November 4, 2021, the Company announced that the Board declared a special dividend of $0.65 per share payable on December 3, 2021, to the Company’s shareholders of record at the close of business on November 19, 2021. A copy of the press release is attached to this Current Report as Exhibit 99.2 and is incorporated herein by reference.
