Item 2.02. Results of Operations and Financial Condition.

On February 28, 2019, Party City Holdco Inc. (the “Company”) issued a press release announcing its financial results for the quarter and year ended December 31, 2018. A copy of the press release is furnished hereto as Exhibit 99.1.

Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 25, 2019, Daniel J. Sullivan tendered his resignation as Chief Financial Officer of the Company, effective March 22, 2019, to pursue other professional opportunities.

Effective March 22, 2019, Michael A. Correale, 61, the Company’s Chief Accounting Officer and Principal Accounting Officer, will also serve as the Company’s Chief Financial Officer and Principal Financial Officer on an interim basis. Prior to serving as the Company’s Chief Accounting Officer and Principal Accounting Officer, Mr. Correale had served as our Chief Financial Officer from March 2002 to August 2016, and Vice President—Finance, from May 1997 to March 2002.

The Company has initiated a search to identify and recruit a new candidate for the role of Chief Financial Officer.
