        On July 29, 2020, the Company issued a press release reporting its financial results for the second quarter ended June 30, 2020. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.

Item 7.01 Regulation FD Disclosure.

        On July 29, 2020, the Company announced its Board of Directors declared its quarterly cash dividend of $0.12 per share. This announcement was included as part of the press release announcing financial results for the quarter ended June 30, 2020 issued by the Company on July 29, 2020. A copy of the press release is attached as Exhibit 99.1 to this report and is being furnished to the SEC and shall not be deemed “filed” for any purpose.

Additionally, the Company has disclosed its loan portfolio by industry sector as of June 30, 2020 and the balance of deferrals by loan portfolio as of July 22, 2020 within Exhibit 99.2. Exhibit 99.2 is being furnished to the SEC and shall not be deemed “filed” for any purpose.
