Statement Under General Instruction E — Registration of Additional Securities
This registration statement registers an additional 1,500,000 shares of our common stock related to the Superior Drilling Products, Inc. 2015 Long Term Incentive Plan, which are the same class as other securities for which registration statements on Form S-8, File Nos. 333-204983, 333-220485 and 333-246319 (the “Prior Registration Statements”), have been previously filed. Pursuant to General Instruction E of Form S-8, the contents of the Prior Registration Statements are hereby incorporated by reference.

(a) The Company hereby undertakes:
(1) To file, during any period in which offers or sales are being made, a post-effective amendment to this Registration Statement:
(i) To include any prospectus required by Section 10(a)(3) of the Securities Act;
