Item 2.02 Results of Operations and Financial Condition.

On March 16, 2023, UroGen Pharma Ltd. (the “Company”) issued a press release announcing its financial results for the quarter and year ended December 31, 2022. A copy of the press release is attached hereto as Exhibit 99.1. On March 16, 2023, the Company hosted a conference call to discuss these financial results. An excerpt of the conference call transcript is attached hereto as Exhibit 99.2.
