Item 2.02. Results of Operations and Financial Condition.

On February 28, 2024, Talos Energy Inc. (the “Company”) issued a press release announcing its financial and operational results for the three and twelve months ended December 31, 2023, historical and pro forma year-end 2023 reserves for the recently announced acquisition of QuarterNorth Energy Inc. and 2024 operational and financial guidance for the combined company. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated into this Item 2.02 by reference.
