Explanatory Note
This Registration Statement on Form S-8 is being filed by the Registrant for the purposes of registering 953,191 new Ordinary Shares of the Registrant, which may be issued pursuant to the vesting of awards granted or that may be granted under the Registrant’s 2018 Forfeitable Share Plan. The Registrant’s shareholders approved the 2018 Forfeitable Share Plan on May 4, 2018.
