A description of the shares of beneficial interest (the “Shares”), no par value, of Sprott ESG Gold ETF (the “Trust”), to be registered hereunder is set forth in the section entitled “Description of the Trust—The Shares” in the prospectus contained in the Trust’s Registration Statement under the Securities Act of 1933 (the “Securities Act”) on
Form S-1/A filed with the Securities and Exchange Commission (the “Commission”) on July 22, 2022 (Commission File No. 333-264576), which description is incorporated herein by reference as filed with the Securities and Exchange Commission, including any forms of prospectuses filed by the Trust pursuant to Rule 424(b) under the Securities Act.
The Shares to be registered hereunder have been approved for listing on the NYSE Arca, Inc. under the symbol “SESG”.
Under the Instructions as to Exhibits with respect to Form 8-A, no exhibits are required to be filed because no other securities of the Registrant are registered on NYSE Arca, Inc. and the securities registered hereby are not being registered pursuant to Section 12(g) of the Securities Exchange Act of 1934, as amended.
